1. Identity of the Contractor

2. Definitions

  • Contractor: Yza Creative Studio (Yza Pauw), acting as photographer, videographer, editor, creative director.
  • Client: Any individual, company, or representative entering into an agreement with the Contractor.
  • Agreement: Any written, verbal, or implied contract for services or products.
  • Services: Photography, videography, editing, creative direction and related creative services.
  • Products: Digital files, prints, media deliveries, and other deliverables.

3. Applicability

  • These Terms apply to all quotations, bookings, agreements, and services unless explicitly agreed otherwise in writing.
  • By booking, paying, or accepting a quotation, the Client confirms acceptance of these Terms.
  • The most recent version of these Terms always applies.
  • If any clause is invalid, the remaining provisions remain fully enforceable.

4. Quotations, Bookings & Scope

  • Quotations are valid for 5 days unless stated otherwise.
  • Acceptance of a quotation forms a binding Agreement.
  • Work outside the agreed scope (extra edits, additional shooting time, reshoots, set changes, etc.) will be billed separately.
  • The Contractor may refuse or reschedule assignments for safety, technical, or reasonable professional reasons.
  • The Contractor is not responsible for delays caused by the Client (late arrival, unpreparedness, missing products, etc.)

5. Rates, VAT & Payments

  • All prices are exclusive of VAT unless stated otherwise.
  • Invoices must be paid within 14 days.
  • Late payments may incur statutory interest and collection fees.
  • A deposit may be required to secure a booking.
  • Delivery of final files may be withheld until full payment is received.
  • Discounts, if granted, apply only to the specific project and cannot be transferred.

6. Working Conditions, Safety & On‑Set Rules

  • The Client must provide a safe, legal, and suitable working environment.
  • The Contractor may stop or leave a shoot immediately if safety is compromised. The full fee remains payable.
  • For assignments exceeding 4 consecutive hours, the Contractor is entitled to a 15‑minute paid break.
  • For shoots during meal hours (12:00–14:00 or 18:00–20:00), the Client must provide a meal or reimburse reasonable meal costs.
  • The Contractor may take short breaks as needed to maintain quality.
  • Late arrival by Client: More than 1 hour late → €50 per hour (excl. VAT).
  • The Contractor may limit the number of people on set and remove disruptive individuals.
  • The Client is responsible for ensuring all models, staff, and participants behave safely and respectfully.

7. Modifications, Cancellations & Travel

  • Cancellations must be submitted in writing.
  • Cancellation fees:
    • Within 5 days → 50% of total fee
    • Within 24 hours or no‑show → 100% of total fee
  • Rescheduling due to weather, illness, or technical issues will be handled in consultation.
  • Hours already worked, materials purchased, or sets built remain chargeable.
  • Travel expenses: €0.35/km or actual travel/accommodation costs.

8. Force Majeure

  • In case of illness, accidents, equipment failure, or events beyond control, the Contractor will attempt to complete or reschedule the assignment.
  • The Contractor is not liable for delays or damages resulting from such events.
  • If the situation persists for more than 16 weeks, either party may terminate the Agreement without additional compensation.

9. Liability

  • The Contractor is not liable for indirect or consequential damages (loss of profit, reputation, etc.).
  • The Client is responsible for damage to equipment caused by lasers, smoke, water, confetti, guests, or environmental hazards.
  • The Contractor is not liable for reduced quality due to environmental factors (lighting, crowding, weather, noise, etc.).
  • The Contractor guarantees professional performance but cannot guarantee specific outcomes or expectations not explicitly agreed upon.

10. Copyright, Usage Rights & Restrictions

  • All copyrights remain with Yza Creative Studio unless otherwise agreed in writing.
  • The Client receives a non‑exclusive, non‑transferable license for the agreed usage only.
  • RAW files are never included unless explicitly purchased.
  • Files may not be used for press, commercial campaigns, or resale without written permission.
  • Unauthorized editing, cropping, filtering, AI‑alteration, or watermark removal is prohibited.
  • The Contractor may use created work for portfolio, social media, and promotion unless the Client requests otherwise in writing before the shoot.
  • The Client is responsible for obtaining necessary location permissions unless agreed otherwise.

11. Delivery, Storage & Re‑Delivery

  • Delivery times are indicative and may vary due to workload or unforeseen circumstances.
  • Raw footage and final files are stored for 1 month after delivery.
  • Extended storage: €100 per month.
  • Re‑sending files (email, WeTransfer, USB, etc.) incurs a fee.
  • Additional edits, retouching, or reorders outside the agreed scope are billed separately.

12. Complaints & Review Period

  • Complaints must be submitted in writing within 7 days of delivery.
  • After 7 days, the Contractor is no longer obligated to make changes or corrections.
  • Artistic or stylistic choices do not constitute grounds for refunds or revisions.
  • After the review period, any requested changes are treated as new, billable work.

13. Additional Protective Clauses

  • The Contractor may refuse work deemed illegal, discriminatory, unsafe, or unethical.
  • Creative decisions (composition, lighting, editing style, color grading, etc.) are at the Contractor’s discretion.
  • The Contractor is not responsible for the appearance, styling, or preparedness of models or participants unless explicitly hired for that purpose.
  • The Client must ensure all participants have given consent to be photographed/filmed.
  • The Contractor may require a signed model release for certain projects.
  • The Contractor is not responsible for lost or damaged props provided by the Client.

14. Governing Law & Dispute Resolution

  • Dutch law applies to all Agreements.
  • Parties must first attempt to resolve disputes through mutual consultation.
  • Unresolved disputes will be submitted to the competent court in the Contractor’s jurisdiction.

15. Acknowledgment

By booking, signing, or paying an invoice, the Client confirms that they have read, understood, and agreed to these Terms & Conditions.
